TERMS AND CONDITIONS OF TRADE. NON CONSUMER SALES ONLY
We are a wholesaler and offer products for resale at trade prices to full-time business customers. Our client base consists of large multi-chain retailers, independent retailers and e-tailers. We do not sell to private individuals or direct to consumers. Please read the following information carefully. If you use the website and purchase products, you hereby undertake and agree to the following terms and conditions.
- “Supplier” shall sell and the buyer shall purchase any goods specified subject to these terms and conditions.
- No variations to these conditions shall be binding unless agreed in writing between the authorised representatives of the buyer and “Supplier”.
- To purchase from us you must be over the age of 18. By submitting your order you are offering to buy the goods at the prices and terms stated (E & OE) and are allowing us to use your details for the purpose of supplying goods, including passing your details onto nominated carriers and other third party subcontractors. We will not use your details for any other purpose without your prior written consent.
- “Supplier” employees or agents are not authorised to make any representations concerning the goods unless confirmed by “Supplier” in writing. In entering into the contract the buyer acknowledges that it does not rely on and waives any claim for breach of any such representatives which are not confirmed.
- Any advice or recommendation given by “Supplier” or its employees or agents as to the storage application or use of the goods which is not confirmed in writing by “Supplier” is followed or acted upon entirely at the buyers own risk and accordingly “Supplier” shall not be liable for any such advice or recommendation which is not so confirmed.
- “Supplier is not obliged to supply the goods until we have confirmed order acceptance to your order request, and payment has been received in full, or a pre-approved credit account facility is in place.
- Prices: All products are priced and displayed exclusive of VAT at the current rate, and all transactions are processed in GBP, Euros or US Dollars. All prices and offers are subject to change and availability without notice.
- Any typographical clerical or other error or omission in any sales literature quotation, price list, acceptance of offer, invoice or other documentation or information issued by “Supplier” shall be subject to correction without any liability on the part of “Supplier”.
- “Supplier” reserves the right to make any changes in the specification of goods which are required to conform to any applicable safety or other statutory requirements.
- No order which has been accepted by “Supplier” may be cancelled by the buyer except with the agreement in writing of “Supplier” and on terms that the buyer shall indemnify “Supplier” in full against all loss (including loss of profit) costs damages charges and expenses incurred by “Supplier” as a result of cancellation.
- Where goods are supplied for export from United Kingdom the price in sterling may be calculated at the prevailing exchange rate at the date of order or the date of payment at the option of “Supplier”.
- Please note we do not offer 'Sale or Return' under any circumstances.
- Shipping and Handling Charges United Kingdom Mainland Shipments over £350 are carriage paid, and shipments over £150 and below £350 are charged based upon weight and location, which is typically £8.00 for carriage.
- Export Orders (Outside of United Kingdom Mainland) “Supplier” will ship goods to any location within the EU (European Union) or worldwide. Within the European Union All shipments outside of the UK will have carriage charged at cost. Minimum shipment value is €500. Orders outside of the United Kingdom are treated as Ex-Works (EXW).
- We take safety seriously and are registered on the Safety Business Gateway to inform market surveillance agencies of any recall and corrective measures. We maintain an internal register of any events and we notify all supply chain partners and economic operators should a product not conform to GPSR for any reason. In turn we expect our retailers and partners to inform their consumers immediately where possible. Our contact details are shown on all gift packaging should the consumer wish to communicate with us directly. We have an internal risk strategy available on request and we expect our retailers to have the same.
- Handling and Storage: We monitor and ensure all our products are transported in strong cartons, labelled appropriately. This includes markings for glassware such as FRAGILE and GLASS and we expect our retailers to use similar markings and/or tape when sending individual orders by post. None of our shipping cartons has staples and all are fully recyclable. Do not over-stack in case of damage to the product or for safety when storing. Do not store products with seeds, batteries or liquids such as shower gels below 0c or above 40c in case of leakage or damage. Do not store in damp or humid conditions in case of mould or other damage to the gift packaging or the product itself.
- Divisibility Where delivery is to be made by instalments, each delivery shall be deemed for such purpose to be the subject of a separate contract and any failure whatsoever by the seller in respect of any one delivery shall not entitle the buyer to repudiate the contract or any instalments remaining to be delivered thereunder.
- The buyer shall pay the price of the goods (less any discounts to which the buyer is entitled, but without any other deduction) within 30 days of the date of invoice.
- Pro-forma invoices should be paid via a BACS transfer or TT, and goods are dispatched once funds are cleared. Alternativelyinvoice payments can be made with a credit or debit card, or with PAYPAL funds, via our PAYPAL merchant account. All payments via the PAYPAL merchant account are subject to a 4% card issuer surcharge.
- 18) If the buyer failed to make any payment on the due date then, without prejudice to any other right or remedy available to “Supplier”, “Supplier” shall be entitled to:
a)Cancel the contract or suspend any further deliveries to the buyer.
b)Appropriate any payment made by the buyer to such of the goods.
c)Charge the buyer interest (both before and after any judgement) on the amount unpaid at the rate of three per cent per annum above Barclays Bank base rate from time to time until payment in full is made (a part of a month being treated as a full month for the purpose of calculating interest).
- Risk of damage to or loss of goods shall pass to the buyer at the time of delivery of if the buyer wrongfully fails to take delivery of the goods, the time when “Supplier” has tendered delivery of the goods.
- The Buyer shall insure and keep insured the Goods to the full price against ‘all risks’ to the reasonable satisfaction of the Seller until the date that the property in the Goods passes from the Seller, and shall whenever requested by the Seller produce a copy of the policy of insurance. Without prejudice to the other rights of the Seller, if the Buyer fails to do so all sums whatever owing by the Buyer to the Seller shall forthwith become due and payable.
- Notwithstanding delivery and the passing of risk in the goods or any other provision of the terms and conditions the property in the goods shall not pass to the buyer until “Supplier” has received in cash or cleared funds payment in full of the price of the goods including VAT and all other goods agreed to be sold by “Supplier” to the buyer for which payment is then due.
- Until such time as the property in the goods passes to the buyer (and provided the goods are still in existence and have not been resold) “Supplier” shall be entitled at any time to require the buyer to deliver up the goods to “Supplier” and if the buyer fails to do so forthwith to enter upon any premises of the buyer where the goods are stored and repossess the goods.The buyer must store “Supplier” goods separately from other goods until paid for and in the original, identifiable shipping cartons where practical.
- The buyer shall not be entitled to pledge or in any way charge by the way of security for any indebtedness any of the goods which remain the property of “Supplier” but if the buyer does so all moneys owing by the buyer to “Supplier” shall (without prejudice to any other right or remedy of “Supplier” forthwith became due and payable.
- “Supplier” shall be under no liability in respect of any defect arising from wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow “Supplier” instructions (whether oral or in writing), misuse, or alteration or repair of the goods without “Supplier” approval and “Supplier” shall be under no liability if the total price for the goods has not been paid by the due date for payment.
- Except where the goods are sold to a person dealing as a consumer (within the meaning of the unfair contract terms act 1977) all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law.
- Any claim by the buyer which is based on any defect in the quality or condition of the goods shall (whether or not delivery is refunded by the buyer) be notified to “Supplier” within 7 days from the date of the delivery or (whether the defect or failure was not apparent on reasonable inspection) within a reasonable time after discovery of the defect or failure if delivery is not refused, and the buyer does not notify “Supplier” accordingly the buyer shall not be entitled to reject the goods and “Supplier” shall have no liability for such defect or failure and the buyer shall be bound to pay the price as if the goods had been delivered in accordance with the contract.
- Where any valid claim in respect of any of the goods which is based on any defect in the quality or condition of the goods or their failure to meet specification is notified to “Supplier” in accordance with these conditions, the seller shall be entitled to replace the goods (or the part in question) free of charge or at “Supplier” sole discretion refund to the buyer the price of the goods (or a proportionate part of the price) but “Supplier” shall have no further liability to the buyer.
- “Supplier” shall not be liable to the buyer by reason for any implied warranty condition or other terms or any duty at common law, for any consequential loss or damage (whether for loss of profit or otherwise), costs expenses or other claims for consequential compensation whatsoever (and whether caused by the negligence of “Supplier”, its employees or agents or otherwise) which arise out of or in connection with the supply for the goods or their use or resale by the buyer except as expressly provided in these terms and conditions.
- If the buyer makes voluntary arrangement with its creditors or becomes subject to an administration order or (being an individual or firm) becomes bankrupt or (being a company) goes into liquidation (otherwise than for the purpose of amalgamation or reconstruction) or an encumbrance takes concession or a receiver is appointed or any for the property or assets for the buyer or the buyer ceases or threatens to cease to carry on business or “Supplier” reasonably apprehends that any of the events mentioned above is about to occur in relation to the buyer and notifies the buyer accordingly then without prejudice to any other right or remedy available to “Supplier”, “Supplier” shall be entitled to cancel the contract or suspend any further deliveries without any liability to the buyer and if the goods have been delivered but not paid for the price shall become immediately due and payable notwithstanding any previous agreement or arrangement on the contrary.
- The buyer shall be responsible for complying with any legislation or regulations governing the importation of the goods into the country of destination and for the payment of any duties thereon.
- Copyright, Trademarks & Data Protection All rights in the designs and information on our website are owned by us. They are protected by copyright, trademarks and other intellectual property rights. You may view, copy and print portions of our website for the sole purpose marketing products purchased from us. The materials on our website may not be used for any other purpose. We will use the information which you provide and the records of items you buy to constantly monitor and improve our service and for marketing purposes in accordance with our Privacy Policy. All our customers’ transaction details remain confidential (in accordance with the Data Protection Act 2018 GDPR).
- This contract and these terms and conditions shall be governed by the laws of England and Wales.
- All goods supplied remain the property of the “Supplier”until all monies due are paid in full. The Customer shall hold them identified accordingly on a fiduciary basis as bailee and grants an irrevocable licence to “Supplier” to enter on to the Customer's premises for the purpose of repossessing their goods.
